On January 22, 2009, our partner James Walker gave a presentation on ethics issues relating to M&A transactions, including clearing conflicts in M&A transactions, duties of a lawyer representing management in a management buy out to the company’s shareholders, ethical issues associated with the representation of a special committee in M&A transactions, and ethical issues faced by counsel representing a potential acquirer in negotiations with the target’s in house counsel.
