Eric M. O'Meara specializes in private equity, in both domestic and emerging markets, and lending transactions. He also represents hedge funds, investment advisers and investment banks in connection with structured finance transactions, including advice on the formation and operation of collateralized debt obligation vehicles (CDOs). Mr. O'Meara provides advice not only on a client's initial investment but also on the ongoing management and development of such investment. Notable engagements of Mr. O'Meara include:

• Representation of an investment bank as the lead investor in the acquisition of a division of a public pharmaceutical company;
• Representation of certain funds in a strategic investment in a publicly traded company engaged in the manufacture and sale of health and beauty care products;
• Representation of certain funds as significant investors in a newly formed Latin American resort and hotel venture;
• Representation of a lead investor in a sidecar reinsurance company formed to assume catastrophic property and casualty insurance risks; and
• Representation of certain funds in connection with their investment in a company operating in the Russian energy sector.

Mr. O'Meara has also practiced in the firm's restructuring and distressed debt trading practice areas where he represented a number of clients in the restructuring, purchase and sale of distressed loans to troubled companies.

Mr. O'Meara is admitted to practice in New York.
