Kimberly M. Versace focuses on securities regulatory and compliance matters, and also is experienced in corporate matters, including distressed debt transactions. She provides on-going advice to hedge funds and financial institutions in connection with the development of comprehensive compliance programs to address regulatory obligations imposed by securities laws and regulations, and advises corporations, investment banks and investment firms on compliance with disclosure requirements, insider trading rules, conflicts of interest and other legal and regulatory requirements.

Among her recent representations are:

  • Assisting in mapping the procedures of a Fortune 500 company’s trading unit and advising the firm on supervisory procedure enhancements;
  • Developing for investment adviser firms policies and procedures for screening proposed paid consultants for conflicts of interest and confidentiality duties, and conducting these screenings on an as-needed basis; and
  • Developing guidelines for client buy-backs of loans or securities in situations in which the client has been given access to non-public information of the borrower or issuer.

Ms. Versace also has represented clients in the acquisition and sale of par and distressed bank loans, bankruptcy claims and other investments in distressed companies and is experienced in the review and analysis of credit documentation and the preparation and negotiation of primary and secondary trading documentation.

Ms. Versace is admitted to practice in the District of Columbia, New York and Connecticut.
