Thao Huu Van Do specializes in investment and financing transactions, including private equity investments, mergers and acquisitions and senior lending transactions. She regularly represents hedge funds, investment banks, private equity funds and other financial institutions in connection with complex investments and investment structures relating to companies across a broad range of industry sectors, both in the U.S. and offshore. Ms. Do advises clients on the ongoing management of their investments in these companies, including negotiating subsequent investments and divestitures through private sales or the public markets. Ms. Do has extensive experience in structuring complicated joint ventures and investment structures, often involving multiple financial investors, and in representing lenders in senior secured, first lien and second lien loan transactions. Recent notable engagements include:

Representation of the lead investor in the formation and capitalization of a U.S. finance company that was later taken public;
Representation of a lead investor in the formation and capitalization of a Brazilian start-up large-scale producer of sugarcane-based ethanol;
Representation of a lead investor in the formation and capitalization of a Turkish company operating in the hard discount/clothing industry in Turkey;
Representation of a lead investor in the capitalization of a Russian oilfield services company; and
Representation of a hedge fund in connection with a second lien credit facility provided to a large malt processing Cayman company, secured by assets in the U.S., Canada, the United Kingdom and Australia.

Ms. Do has also practiced in the firm's distressed debt and claims trading practice areas where she represented a number of clients in the purchase and sale of par and distressed bank loans and other financial claims against troubled companies in the secondary debt market.
