Brian S. Fraser specializes in complex commercial and financial matters, with particular emphasis on securities, corporate governance, and capital markets litigation. Mr. Fraser has successfully represented investment funds in disputes with shareholders or other constituents of companies in which they invested; fund managers in disputes with partners of the firm; investment banks in disputes with other institutions arising from financial transactions; and clients involved in numerous other disputes arising from transactions in the equity, debt, structured finance, and derivatives markets. In commercial and intellectual property litigation, Mr. Fraser has extensive experience representing clients in breach of contract, antitrust, trademark, and trade secrets cases. He has also successfully represented plaintiffs and defendants, in state and federal courts across the country and in arbitrations and mediations. Illustrative representations include:

• Boeing in wrongful death and tens of billions of dollars in property damage claims arising from the terrorist attacks on September 11, 2001;
• A large foreign government-owned corporation in civil litigation in the U.S. and a multi-jurisdictional criminal investigation arising from the embezzlement of more than $60 million from the company’s U.S. subsidiary;
• A fitness equipment manufacturer in antitrust and patent infringement litigation against its largest competitor;
• A significant investor in a group of hedge funds that sold credit default swap protection providing "pay as you go" protection on notes issued by a CDO which notes were secured by residential mortgage-backed securities in connection with claims arising out of that credit default swap agreement;
• A large U.S. - based investment bank in a substantial broken trade litigation against a foreign bank.

In addition, Mr. Fraser is a regular speaker and writer in the areas of antitrust, securities, bank debt and international law.

He is a member of the Association of the Bar of the City of New York (Antitrust and Trade Regulation Committee, 1991to1994), the American Bar Association (Sections on Antitrust, Litigation, Securities and Intellectual Property and the Committee on Trade Secrets and Interference with Contracts), the International Bar Association, and the Federal Bar Council. In 2007, he was recognized as a New York Super Lawyer for Business Litigation.

Mr. Fraser is a member of the New York bar and is admitted to practice before the United States District Courts for the Southern and Eastern Districts of New York, the United States Supreme Court and has been admitted to practice before numerous federal and state trial courts around the country on a pro hoc vice basis.
