Corporate Governance
Our lawyers regularly advise companies, management and boards of directors on the real-world application of the myriad rules, standards, governance best practices and regulatory expectations that affect corporations today. We provide proactive advice and strategies to respond to current events and developments, including analysis and counsel concerning internal procedures, training protocols and business controls, as well as the development and implementation of compliance procedures. Where compliance issues are identified, we counsel corporate boards and senior management about how to respond effectively to ensure that the best interests of the company and its investors are protected. Whatever the response - conducting an internal investigation, communicating with relevant regulators and law enforcement authorities, commencing civil litigation, or making internal disciplinary decisions - we work with our clients at every stage to achieve the best possible outcome.
The Firm is particularly well suited to advise companies and directors on governance issues and to conduct internal investigations in part because it works closely with a variety of government agencies on these issues. Indeed, the government and the Courts have turned to senior lawyers in the Firm to serve as corporate monitors and receivers in a number of high profile matters. For example, a senior partner at the Firm was appointed by a U.S. District Judge to act as Independent Examiner for Computer Associates International, Inc. and worked closely with other lawyers at the Firm in that matter.
