Craig A. Newman is a partner in the Firm’s Litigation Group. Mr. Newman regularly advises clients on a broad range of significant issues with an emphasis on litigation involving capital markets, governance and complex corporate and business matters.
Mr. Newman brings a perspective developed not only as a law firm litigator but as a former corporate executive. From 2005-2006, Mr. Newman was Executive Managing Director & General Counsel of a $5 billion private investment firm which focused on private equity and distressed/turnaround investments in the US and abroad. As a result of his unique background, Mr. Newman’s approach is practical and aimed at achieving his client’s business objectives.
Mr. Newman’s practice includes representing clients in litigation relating to corporate mergers and acquisitions, securities/accounting, bankruptcy and distressed investment situations, business relationships, partnerships and joint ventures. Mr. Newman’s practice also encompasses general transactional matters including corporate counseling, private equity investments, intellectual property acquisitions and formation of strategic joint ventures. Earlier in his career, Mr. Newman was a partner with Arnold & Porter, resident in the firm’s New York office.
SELECT EXPERIENCE
Securities and Capital Markets Litigation
• Represented Oracle Partners, a private investment firm, in litigation relating to a real estate investment including obtaining a mandatory injunction granting Oracle interim control over the real estate company pending a trial on the merits;
• Represent major private equity and hedge funds in regulatory investigations, disputes and litigations arising out of the issuance of various equity and debt instruments including Collateralized Debt Obligations and Credit Default Swaps;
• Represented major securities firm in litigation and Securities & Exchange Commission investigations.
Creditors’ Rights and Bankruptcy
• Conflicts counsel for Quebecor World (USA) Inc., and its affiliated entities, which operated the second largest printing business in the United States, in their Chapter 11 reorganization in the Bankruptcy Court for the Southern District of New York;
• Defense of successor liability claims asserted against private investment funds by creditors after debtor emerged from Article 9 foreclosure proceedings;
Other Matters
• Counsel to an SEC-appointed Receiver in Ponzi-scheme fraud pending before the United States District Court for the Southern District of New York;
• Represented joint venture partner in litigation and American Arbitration Association arbitration related to termination of long-standing business relationship.
