Jahangier Sharifi specializes in private equity financing transactions and mergers and acquisitions. He regularly represents hedge funds, private equity funds, investment banks and other financial institutions in connection with their investments in companies in a broad range of industries both in the U.S. and offshore. Mr. Sharifi advises clients on the ongoing management of their investments in these companies, including negotiating subsequent investments and divestitures through private sales or the public markets. He has extensive experience in structuring complicated joint ventures and investment structures, often involving multiple financial investors. Recent notable engagements include:
• Representation of a hedge fund acting as a lead investor in providing equity funding in the formation and capitalization of a sidecar reinsurance vehicle;
• Representation of a private equity fund as the initial financial investor in a leading executive services firm that was previously wholly-owned by its partners; and
• Representation of a hedge fund in the initial institutional round of financing for Yonja Media Group, the operator of the leading Turkish social networking website, as well as the subsequent investment in that company by a strategic investor.
Mr. Sharifi has also practiced in the firm's distressed debt and claims trading practice areas, where he represented a number of clients in the purchase and sale of par and distressed bank loans and other financial claims against troubled companies in the secondary debt market.
