Jon Kibbe is a founding partner of the firm. His practice concentrates on legal issues surrounding credit structures and credit risk in the fixed income markets and includes advising clients on special situation investments, secondary market transactions involving bank loans and other claims, event driven acquisitions, restructurings and evolving financing and derivative products.

He represents investment banks, hedge funds, broker dealers and other financial institutions participating in the bank loan, high-yield debt and credit derivatives markets. Mr. Kibbe specializes in providing transactional and regulatory advice to clients desiring to originate, restructure and trade commercial and industrial bank loans, develop financial instruments and trading programs in related asset classes (including options, and credit default, total return and recovery lock swaps), securitize portfolios of debt instruments, or establish vehicles and funds structured to purchase and restructure distressed financial assets.

He also regularly counsels clients on trading strategies and regulatory issues involving bank loan trading, and has worked with clients to establish and maintain trading desks in the U.S. secondary loan market. Recent significant engagements include:

• Representing an investment bank seeking to resolve a series of complex trading disputes through an innovative use of a portfolio total return swap
• Advising a trade association in various initiatives designed to increase transparency and liquidity in the U.S. bank loan market
• Advising the working groups of market participants that conceived and developed the North American and European Loan Credit Default Swap (LCDS) documentation and settlement protocols
• Representing investment banking and hedge fund clients in single name and portfolio transactions utilizing the LCDS technology
• Representing hedge funds seeking to arbitrage the credit risk of insurers and government-sponsored enterprises through active trading of credit default swaps
• Representing an investment bank in the development of an enhanced total return swap product referencing corporate loans
• Advising hedge funds and investment banks defending, prosecuting and purchasing swap termination claims exceeding $1bn
• Advising a bank loan trader in the formation of a broker dealer for related securities trading
• Representing an investment bank developing improved transaction documentation and operational procedures designed to reduce counterparty risk and facilitate the trading of unfunded revolving loan facilities in the secondary loan market
• Advising banks seeking to sell inventories of corporate bridge loans into the secondary market

In addition, Mr. Kibbe is a regular speaker on topics about the U.S. and international secondary markets in distressed loans, claims and related derivatives products, and frequently writes on evolving legal issues of interest to participants in those markets.
