William Q. Orbe is a founding partner of the firm. He specializes in investment and financing transactions, including private equity investments, mergers and acquisitions, mezzanine capital, and venture capital investments. Mr. Orbe represents hedge funds, investment banks, financial institutions and insurance companies in connection with complex investments and investment structures relating to diverse companies in the U.S. and abroad. He regularly provides strategic and regulatory advice to shareholders holding large positions in public companies and to boards of directors and advises clients in connection with mergers and acquisitions. Mr. Orbe’s experience also includes a wide variety of other transactions and advice, including joint ventures, start-ups and fund formation and securities regulatory and compliance matters. Some illustrative representations include:
• Representing the largest shareholder of a public company in its going-private acquisition of the company;
• Representing co-investors in going-private acquisitions of gaming, real estate and industrial companies;
• Representing the purchaser of a medical products company;
• Representing the seller of a retail company;
• Representing the independent committee of directors in the sale of a real estate development company;
• Representing the lead investor in capitalizing a new private equity fund in South America;
• Representing the lead investor in the formation and capitalization of a “side car” insurance vehicle to assume property and casualty insurance risk post hurricane Katrina;
• Representing the lead investor in the formation and capitalization of a finance company that was later taken public;
• Representing a lead investor in its investment in a broker-dealer that was later taken public;
• Representing a joint venture partner in joint ventures in Asia formed to develop commercial real estate complexes and infrastructure projects;
• Representing a co-investor in the restructuring of a mass transit system;
• Representing a co-lead lender in providing rescue capital to a cash-strapped public utility.
