Victor Ludwig practices in the firm’s Corporate & Finance Transactions Department and specializes in credit and credit derivatives, marketplace lending and bankruptcy claims trading. In addition to his legal experience, Mr. Ludwig is a CFA® charterholder.
Mr. Ludwig’s lending work includes structuring and negotiating ABL facilities backed by specialty assets, including solar renewable energy credits and consumer loans. In addition, Mr. Ludwig routinely reviews and provides advice on credit documents to ensure compliance with clients’ investment banking policies and to quantify and analyze economic terms.
Mr. Ludwig’s work in the firm’s derivatives practice is focused on loan and claim total return swaps. He has represented both dealer and buy-side clients in analyzing, structuring, and negotiating TRS master confirmations. He has worked with clients to revise and update proprietary TRS confirms and has leveraged his experience in the bankruptcy claims market to adapt loan TRS forms to the claims space. In addition, Mr. Ludwig regularly assists swap providers in reviewing and negotiating credit facilities that provide credit support for swap transactions and in negotiating ISDA Master Agreement Schedules.
Mr. Ludwig has been active in developing the firm’s marketplace and online lending practice. He has experience representing clients establishing small business lending platforms, including navigating federal and state lending regulations and securities laws, and has drafted the transaction documents used by clients’ online platforms. In addition, he has advised fund clients on their investments in consumer and small business loans originated by marketplace lenders.
In the firm’s distressed debt and claims trading practice, Mr. Ludwig has represented leading investment banks and hedge funds in numerous sales of bankruptcy claims. In addition, he has advised on and negotiated settlements of claims against a variety of Lehman entities, including Lehman Brothers International (Europe) (both unsecured and trust asset claims), Lehman Brothers Inc. and Lehman Brothers Holdings Inc.
Prior to joining RK&O, Mr. Ludwig was an associate at Cravath, Swaine & Moore LLP, where he practiced in their syndicated lending and M&A groups.
Represented White Oak Global Advisors in the acquisition of Capital Business Credit (renamed White Oak Commercial Finance), a leading factoring and commercial finance business.
